1. INTRODUCTION

MentorAide (a subsidiary of Sparkling Minds Technologies Private Limited) provides online courses and conducts online classes, live demonstrations, and doubt-clearing sessions for students seeking to enroll in such courses (referred to as "Services"). These Services are accessible at https://www.mentoraide.com/ and any other websites through which MentorAide makes the Services available (collectively, the "Site") and as applications for mobile, tablet, and other smart devices and application program interfaces (collectively, the "Applications").

  2. By accessing or using the Site, Application, or Services or by downloading or posting any content from or on the Site, via the Applications, you are indicating that you have read, understand, and agree to be bound by these terms and receive our Services ("Terms of Services" or "Terms"), whether or not you have registered with the Site and/or Application.

  3. Therefore, we kindly request you to read these Terms of Service carefully before accessing or using the Site, Application, or Services, or downloading or posting any content from or on the Site, via the Application, or through the Services, as they contain vital information regarding your legal rights, remedies, and obligations.

  4. If you do not agree to these Terms, then you have no right to access or use the Site, Application, Services, or Collective Content (as defined below).

  5. If you are using the Site, Application, or Services, these Terms of Service are binding between you and MentorAide.

2. DEFINITIONS

In addition to other words and expressions that may be defined elsewhere in these Terms, unless the context otherwise requires, the following capitalized terms, wherever used in the Agreement, shall have the meanings as ascribed hereunder:

  1. "Courses" means educational courses listed on the Site or Application.

  2. "Course Fees" means the fee or amount that is due and payable by a Student for enrollment in a Course.

  3. "Collective Content" means Member Content and MentorAide Content.

  4. "Content" means text, graphics, images, music, software (excluding the Application), audio, video, information, or other materials.

  5. "Listing" means Courses that are listed by MentorAide as available via the Site, Application, and Services.

  6. "Member" means a person who completes MentorAide's account registration process, including but not limited to Teachers and Students, as described under "Account Registration" in Clause 7 below.

  7. "Member Content" means all Content that a Member posts, uploads, publishes, submits, transmits, or includes in their Listing, Member profile, or MentorAide promotional campaign to be made available through the Site, Application, or Services.

  8. "Payment Method" means a payment method that you have added to your MentorAide Account, such as a credit card, debit card, or net banking.

  9. "Student" means a Member who enrolls in Courses on the Application or Site; in the case of a minor student, the parent or guardian who enrolls their child or ward for the Courses on the Application or Site.

  10. "Tax" or "Taxes" mean any sales taxes, value-added taxes (VAT), goods and services taxes (GST), service tax, that MentorAide may be required by law to collect and remit to governmental agencies and other similar municipal, state, federal, and national indirect or other withholding and personal or corporate income taxes.

  11. "Teacher" means a Member who has been selected by MentorAide to provide services through the Site or Application.

  12. "MentorAide Content" means all Content that MentorAide makes available through the Site, Application, Services, or its related promotional campaigns and official social media channels, including any Content licensed from a third party, but excluding Student Content.

3. GDPR COMPLIANCE STATEMENT

MentorAide respects and complies with the EU General Data Protection Regulations (GDPR). Some of the key ways we comply with these regulations are:

  1. Consent: We explain what you’re consenting to clearly and without ‘legalese’ and ask that you explicitly consent to contact from us.

  2. Breach Notification: In the event of a breach, we will notify affected users within 72 hours of first having become aware of the breach.

  3. Right to Access: Users can request confirmation as to whether or not personal data concerning them is being processed, where and for what purpose. Further, we shall provide a copy of the personal data in an electronic format.

  4. Right to be Forgotten: Once we have compared your rights to the public interest in the availability of the data, we may delete your personal data where you have requested this.

  5. Data Portability: We allow you to receive the personal data concerning you, which we will provide in a 'commonly used and machine-readable format,' and you have the right to transmit that data to another ‘controller.’

4. COMMUNITY

MentorAide will create Listings of various Courses, and the details about the Course will be listed on the Website. Listings will be made publicly available on the Website.

Kindly note that MentorAide assumes no responsibility for a Student's compliance with any agreements with or duties to third parties, applicable laws, rules, and regulations. MentorAide reserves the right, at any time and without prior notice, to remove or disable access to any Student for any reason that MentorAide, in its sole discretion, considers to be objectionable for any reason, in violation of these Terms.

5. NO ENDORSEMENT

By using the Website, you accept that any legal liability that you seek to obtain for actions of other Members or other third parties will be limited to a claim against the particular Members or other third parties who caused you harm. You agree not to attempt to impose liability on or seek any legal remedy from MentorAide with respect to such actions.

6. USER CONDUCT

  1. You understand and agree that you are solely responsible for compliance with any and all laws, rules, regulations, and Tax obligations that may apply to your use of the Website. In connection with your use of the Website, you agree that you will not:

    • Violate any local, state, national, or other law or regulation, or any order of a court, including, without limitation, tax regulations.

    • Use manual or automated software, devices, scripts, robots, backdoors, or other means or processes to access, "scrape," "crawl," or "spider" any web pages or other services contained in the Site, Application, or Services.

    • Engage in “framing,” “mirroring,” or otherwise simulating the appearance or function of the Website.

    • Manipulate or otherwise display the Site, Application, or Services by using framing or similar navigational technology.

    • Register for more than one MentorAide Account or register for an Account on behalf of an individual other than yourself.

    • Approach another Member for any purpose other than inquiring about or booking a Course or for any other purpose that is not allowed by these Terms.

7. CHILD SAFETY POLICY

  1. MentorAide is deeply committed to child safety. The following Child Safety Policy applies to all individuals and organizations associated with MentorAide and its Services:

  1. Listen to the Child: Everyone associated with MentorAide should give children the opportunity to express their views.

  2. Treat Every Child with Empathy and Respect: Everyone must treat every child fairly, with respect, and with dignity.

  3. Use Appropriate Language: Avoid the use of inappropriate language, derogatory terms, or any form of verbal abuse when interacting with children.

  4. Create a Conducive Environment for Children to Express Themselves: Ensure that children feel safe and comfortable when participating in classes.

  5. Seek Permission from Guardians for Taking Photos or Videos: Obtain prior written consent from guardians before taking any photographs or videos of children.

  6. Keep Personal Information of Children and Guardians Confidential and Secure: Ensure that personal information of children and their guardians is treated as confidential and safeguarded.

  7. Ensure Age-Appropriate and Culturally Appropriate Content: Use content that is age-appropriate and culturally sensitive when interacting with children.

9. PROHIBITED BEHAVIORS AND ACTIONS

  1. Do Not Develop Inappropriate Relationships with Children: MentorAide’s instructors or any associated personnel must never develop inappropriate relationships with children.

  2. Do Not Use or Encourage the Use of Intoxicating Substances: Under no circumstances should any intoxicating substances be used or encouraged during interactions with children.

  3. Do Not Engage in Exploitative or Abusive Arrangements: Exploitative or abusive arrangements involving children are strictly prohibited.

  4. Do Not Share or Show Inappropriate Content to Children: Sharing or showing any inappropriate content to children is strictly prohibited.

  5. Obtain Permission Before Taking Photos or Videos: Always obtain prior written consent from guardians before taking any photographs or videos of children.

  6. Avoid Using Inappropriate Language or Behavior: Inappropriate language, behavior, or discrimination of any kind against children is prohibited.

  7. Follow Our Child Safety Guidelines Diligently: MentorAide’s Child Safety Guidelines must be followed with the utmost diligence.

10. CHILD SAFETY POLICY

In cases where MentorAide does not have control over an individual's actions, including allegations of child abuse, MentorAide will cooperate with parents or guardians to approach legal authorities. MentorAide is not personally liable in such instances, and we expect all stakeholders to adhere to our child safety code of conduct.

11. PRIVACY

We collect and process personal information to provide our Services. You must agree to the processing of your personal information as described in our Privacy Policy. You are responsible for preventing unauthorized access to your Account.

12. INTELLECTUAL PROPERTY OWNERSHIP AND RIGHTS NOTICES

14. MENTORAIDE CONTENT AND MEMBER CONTENT LICENSE

  1. Subject to your compliance with these Terms, MentorAide grants a limited, non-exclusive, non-transferable license to access and view MentorAide Content and Member Content for your personal, non-commercial purposes.

  1. The Site, Application, and Services may contain links to third-party websites or resources. MentorAide is not responsible for the availability, accuracy, or content of these websites or resources. You acknowledge and accept sole responsibility for and assume all risk arising from your use of any such websites or resources.

16. COPYRIGHT POLICY

MentorAide respects copyright law. We reserve the right to terminate the accounts of users who repeatedly infringe copyright. If you believe your copyright is being infringed, please contact us.

17. TERM AND TERMINATION

  1. This Agreement will remain in effect until you or MentorAide terminate it. We may terminate this Agreement instantly if you breach these Terms, provide incorrect information, violate laws, or if we believe it is necessary for safety, fraud prevention, or security. Non-material breaches may receive prior notice.

18. SURVIVAL

  1. Even after termination, certain provisions, including intellectual property ownership, indemnification, disclaimers, limitation of liability, and miscellaneous terms, shall continue to be in force.

19. DISCLAIMERS

  1. You understand and agree that you use the Website at your own discretion and risk and that you are solely responsible for any damage to your computer system or loss of data that results from the use of the Site, Application, and Services.
